A description of the ordinary shares (the “Ordinary Shares”), of Selina Hospitality PLC (the “Registrant”) and a description of the warrants to purchase Ordinary Shares (the “Warrants”) to be registered hereunder are set forth under the captions “Description of the Selina Ordinary Shares” and “Description of Selina Warrants,” respectively, in the prospectus that constitutes a part of the Registrant’s Registration Statement on Form F-4, File No. 333-266715 (the “Registration Statement”), initially filed with the U.S. Securities and Exchange Commission on August 9, 2022, as subsequently amended by any amendments to such Registration Statement and by any form of prospectus filed pursuant to Rule 424(b) under the Securities Act of 1933, as amended, in connection with such Registration Statement. Such Registration Statement, as amended, and any form of prospectus filed pursuant to Rule 424(b) under the Securities Act of 1933, as amended, that includes such description, are hereby incorporated by reference herein.

The Ordinary Shares and Warrants to be registered hereunder have been approved for listing on the Nasdaq Global Select Market under the symbols “SLNA” and “SLNAW,” respectively.
